Terms of Service
Welcome to Client Insight. These Terms of Service ("Terms") govern your access to and use of Client Insight's website, services, and applications (collectively, the "Service"). Please read these Terms carefully before using the Service.
By accessing or using the Service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not access or use the Service.
1. Description of Service
Client Insight is a dual-sided review platform that enables:
- Contractors to search for and review customers based on their experiences working together
- Homeowners to view their reviews, dispute inaccurate information, and find verified contractors
The Service facilitates the sharing of information about business interactions between contractors and customers to help both parties make informed decisions about future engagements.
2. User Eligibility
2.1 General Requirements
To use the Service, you must:
- Be at least 18 years of age
- Have the legal capacity to enter into a binding agreement
- Not be prohibited from using the Service under applicable law
- Provide accurate and complete registration information
2.2 Contractor Accounts
To create a Contractor account, you must:
- Represent a legitimate business entity
- Complete our business verification process
- Provide valid state business registration or contractor license information
- Maintain accurate and current business information
Only verified Contractors may search customer profiles and submit reviews about customers.
2.3 Customer Accounts
Homeowners may create accounts to:
- Claim and manage their customer profile
- View reviews written about them
- Dispute reviews they believe to be inaccurate or unfair
- Search for and review verified contractors
3. Account Responsibilities
You are responsible for:
- Maintaining the confidentiality of your account credentials
- All activities that occur under your account
- Notifying us immediately of any unauthorized use of your account
- Keeping your account information accurate and up to date
We reserve the right to suspend or terminate accounts that violate these Terms or that we reasonably believe have been compromised.
4. Review Content Guidelines
4.1 Truthfulness and Accuracy
All reviews submitted through the Service must be:
- Truthful: Based on actual experiences and interactions
- Accurate: Reflecting events as they actually occurred
- First-hand: Based on your direct experience, not hearsay
- Relevant: Pertaining to the business relationship being reviewed
4.2 Prohibited Content
Reviews must not contain:
- False or misleading statements
- Defamatory content
- Personal attacks, hate speech, or discrimination
- Confidential or private information (beyond what is necessary for the review)
- Content that violates any third-party rights
- Spam, advertising, or promotional material
- Threats, harassment, or intimidation
- Obscene or offensive language
4.3 Review Ownership and License
You retain ownership of the content you submit. By submitting a review, you grant Client Insight a non-exclusive, worldwide, royalty-free license to use, display, reproduce, and distribute your review content in connection with the Service.
5. Consumer Review Fairness Act Compliance
In accordance with the Consumer Review Fairness Act (15 U.S.C. 45b):
- We do not require users to waive their right to post honest reviews
- We do not penalize users for posting honest reviews
- Reviews expressing honest opinions are protected, even if they are negative
- We will not threaten legal action against users for honest reviews
However, reviews must still comply with our content guidelines and be truthful. The Act does not protect knowingly false statements, defamation, or other unlawful content.
6. Dispute Resolution Process
6.1 Review Disputes
If you believe a review about you is inaccurate, unfair, or violates our guidelines, you may:
- Submit a dispute through your account dashboard
- Provide evidence supporting your position
- Await our administrative review (typically 5-10 business days)
- Receive a written decision explaining our findings
6.2 Administrative Review
Our dispute resolution team will:
- Review evidence from both parties
- Consider the totality of the circumstances
- Make a determination based on our guidelines and applicable law
- Take appropriate action (uphold, modify, or remove the review)
6.3 Appeals
Either party may appeal a dispute decision within 14 days of the initial determination. Appeal decisions are final.
7. Prohibited Conduct
You agree not to:
- Use the Service for any unlawful purpose
- Submit false, misleading, or fraudulent information
- Impersonate any person or entity
- Interfere with or disrupt the Service
- Attempt to gain unauthorized access to any part of the Service
- Use automated means to access the Service without our permission
- Harass, threaten, or intimidate other users
- Circumvent any access controls or rate limits
- Reverse engineer or decompile any part of the Service
- Use the Service to send spam or unsolicited communications
8. Intellectual Property
8.1 Our Property
The Service, including its design, features, functionality, and content (excluding user-submitted content), is owned by Client Insight and protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works without our written permission.
8.2 Trademarks
"Client Insight" and our logo are trademarks of Client Insight. You may not use our trademarks without our prior written consent.
9. Fees and Payment
9.1 Subscription Fees
Certain features of the Service require a paid subscription. Fees are as described on our pricing page and are subject to change with 30 days' notice.
9.2 Free Trial
We offer a 14-day free trial for new Contractor accounts. You will not be charged during the trial period. If you do not cancel before the trial ends, you will be automatically enrolled in a paid subscription.
9.3 Refunds
Subscription fees are non-refundable except as required by law. You may cancel your subscription at any time, and your access will continue until the end of your current billing period.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
- THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED
- WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE
- WE ARE NOT RESPONSIBLE FOR THE ACCURACY, COMPLETENESS, OR RELIABILITY OF USER-SUBMITTED CONTENT
- IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR $100, WHICHEVER IS GREATER
- WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
11. Indemnification
You agree to indemnify and hold harmless Client Insight, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from:
- Your use of the Service
- Your violation of these Terms
- Your violation of any third-party rights
- Content you submit to the Service
12. Termination
12.1 By You
You may terminate your account at any time by contacting us or using the account deletion feature in your settings.
12.2 By Us
We may suspend or terminate your account at any time, with or without notice, for any reason, including:
- Violation of these Terms
- Fraudulent or illegal activity
- Failure to pay applicable fees
- Extended period of inactivity
- At our sole discretion
12.3 Effect of Termination
Upon termination:
- Your access to the Service will cease immediately
- Reviews you have submitted will remain visible on the platform
- Reviews written about you will remain visible to verified contractors
- Your rating history and address verification records will be retained
12.4 Data Retention After Termination
Important: To maintain the integrity and quality of our review database, we retain review data, ratings, and address history indefinitely, even after account termination. Upon your deletion request, we will remove or anonymize personal identifiers as required by applicable law, but the underlying review and reputation data will be preserved. This policy exists because:
- Our platform's value depends on comprehensive, accurate review histories
- Allowing complete deletion would enable users to escape legitimate negative reviews
- Contractors rely on this data to make informed business decisions
- Preserving this data serves the legitimate interests of our user community
By using the Service, you acknowledge and consent to this data retention policy.
13. Modifications to Terms
We may modify these Terms at any time. Material changes will be communicated via email or through the Service at least 30 days before they take effect. Your continued use of the Service after changes take effect constitutes acceptance of the new Terms.
14. Governing Law, Jurisdiction, and Venue
14.1 Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of North Carolina, without regard to its conflict of law provisions.
14.2 Exclusive Jurisdiction and Venue
IMPORTANT: Any and all disputes, claims, or controversies arising out of or relating to these Terms, the Service, or your use thereof—including but not limited to claims of breach, tort, fraud, or any statutory claims—shall be brought exclusively in the state or federal courts located in Mecklenburg County, Charlotte, North Carolina. By using the Service, you irrevocably consent to the exclusive jurisdiction and venue of these courts and waive any objection based on inconvenient forum or lack of personal jurisdiction.
14.3 Waiver of Jury Trial
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, EACH PARTY WAIVES ANY RIGHT TO A JURY TRIAL IN ANY PROCEEDING ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE.
14.4 Class Action Waiver
You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action. You waive any right to participate in a class action lawsuit or class-wide arbitration against Client Insight.
15. General Provisions
15.1 Entire Agreement
These Terms, together with our Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and Client Insight regarding the Service.
15.2 Severability
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
15.3 No Waiver
Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
15.4 Assignment
You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign these Terms without restriction.
